Dissolution of the sale

We recommend turning to our specialized lawyers with questions related to dissolution of the sale, as there are several important legal details involved.

  • Similarly to real estate transactions, dissolution is always a solemn agreement, meaning that the sale shall not be binding unless it is concluded as provided in the legislation.
  • Additionally, further charges may become payable from the buyer to the seller for the devaluation of the property or significant revenue acquired from the property.
  • Similarly, the seller may be liable to pay damages to the buyer for any charges incurred.

The seller has a significant responsibility in the sale of real estate and housing and the buyer must be informed of all defects and other essential matters related to the property.

The seller’s responsibility principally lasts 2 to 5 years from the transfer of tenure depending on whether the subject of sale is real estate or housing company shares.

Where the seller is liable for water damage, the purchaser must file a complaint of the defects to the seller within a reasonable time and the seller must be given time to familiarize themselves with the complaint.

  • After complaining of the quality defects, the purchaser may rely on available legal remedies.
  • A real estate agent may also be liable for a defect in the property, if they have neglected their obligation to obtain or disclose information. The liability of a real estate agent is however limited in comparison to the seller’s liability.
  • In a limited liability housing company, the housing company may also be liable in certain situations. Under the Limited Liability Housing Companies Act (1599/2009), the housing company is liable for keeping the building structures and insulating materials in good condition, whereas the shareholder is responsible for keeping the indoor parts of the apartment in good condition. This is the general principle applied unless otherwise provided in the Articles of Association.
